Will I be personally liable for the corporation's obligations?

In general, the members of the corporation or
its shareholders are not to be held liable
for the business obligations. However, there
are some exceptions. Most state laws impose
several responsibilities on corporations
wherein such requirements should be firmly
followed to ensure personal limited
liability. In some cases, Courts of law
permits people in a corporation to be
personally sued if these requirements will
not be complied with. In addition, an
employee or a shareholder will surely be
liable for damages resulted from his acts of
misconduct as well as his negligence, apart
from the corporation's existence.
